Terms of Use

## Acceptance
By installing, accessing, or using Versacon, your company and its users agree to these Terms of Use. If you do not agree, do not use Versacon.
## The service
Versacon is construction operations software for subcontractors and small general contractors, delivered as an app inside Microsoft Teams, and usable from Outlook and the rest of Microsoft 365, plus an optional email assistant. Using Versacon requires a Microsoft 365 licence that includes Teams. Versacon AI LLC is an independent software publisher and is not affiliated with, endorsed by, or sponsored by Microsoft.
## Accounts and administrators
Your company designates one or more Administrators, who control who has access to Versacon and what role — Admin or Field — each user holds. Your company is responsible for its users' activity in Versacon and for keeping its list of authorized users current.
## Your data
Your company owns its data and documents. Versacon's licence to use your data is limited to what is needed to provide the service to your company; we do not claim ownership of it. Your documents live in your company's own Microsoft SharePoint or Google Drive, not on Versacon's servers.
## Acceptable use
You agree to use Versacon lawfully, and agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of Versacon
- Resell or sublicense Versacon without our written agreement
- Interfere with or disrupt the service or its infrastructure
- Upload malware, or upload another party's confidential information without the right to do so
## Subscription and billing
Versacon is sold by subscription and is currently billed by Versacon AI LLC directly, by invoice or card — not through Microsoft or the Microsoft marketplace. Fees, billing term, and renewal are set out in your order or subscription agreement. Non-payment may result in suspension of access. If we later offer billing through Microsoft, we will update these terms first.
## Availability and changes
We make reasonable efforts to keep Versacon available and working well, but we do not guarantee uninterrupted uptime. Features may change over time. We will give notice of material changes where practical.
## Termination
Either party may terminate as provided in your subscription agreement, or, absent one, on reasonable notice. On termination, your company keeps its files in its own SharePoint or Google Drive, and may request an export of its Versacon database records within 30 days of termination.
## Disclaimers and limitation of liability
Versacon is provided "as is," without warranties of any kind, express or implied. To the extent permitted by law, Versacon AI LLC is not liable for indirect, incidental, or consequential losses arising from use of the service. Our total liability to your company for any claim is limited to the fees your company paid us in the 12 months before the claim arose.
## Indemnity
Your company agrees to indemnify Versacon AI LLC against claims arising from your users' misuse of the service or violation of these terms.
## Governing law
These terms are governed by the laws of the State of Texas. Any dispute will be brought in the state or federal courts located in Travis County, Texas.
## Changes to these terms
We may update these terms from time to time. If we make a material change, we will update the effective date above and let your company's administrator know.
